Resolutions at the Annual General Meeting of RaySearch Laboratories AB (publ)

The Annual General Meeting of the shareholders of RaySearch Laboratories AB (publ), which was held on May 25, 2011, passed the following resolutions, among others.

The proposal by the Board of Directors and the Managing Director concerning a distribution of dividends amounting to fifty (50) öre per share was adopted. May 30, 2011, was chosen as record day in respect of the dividends, and thus payment of the dividends is estimated to take place on 3 June, 2011.

It was resolved that the number of Board members shall be four (4) with no deputy members. Johan Löf, Erik Hedlund, Carl Filip Bergendal and Hans Wigzell were re-elected members of the Board, with Erik Hedlund as Chairman of the Board.

The Annual General Meeting resolved that the director fees to be paid to Board members who do not receive a salary from any Group company shall continue to total SEK 600,000 for the period until the next Annual General Meeting, of which the Chairman of the Board shall receive SEK 360,000 and each other elected Board member who does not receive a salary from any company in the Group shall receive SEK 120,000.

The Board of Directors and the President were discharged from personal liability for the 2010 fiscal year.

The Annual General Meeting furthermore resolved to modify the Articles of Association in order to adapt them to new rules on periods of notice regarding General Meetings and on a simplified way to publish notices for General Meetings.
